Sustainability: From Nice to Have to Must-Have

  • Governance: How companies are managed, covering leadership, transparency, and shareholder rights. 

Unlike traditional financial metrics, ESG focuses on sustainable value creation. In simple terms, ESG is how business aligns its values with action. Investors and customers increasingly expect these best practices to be standard, not exceptional. 


Emerging Regulatory Trends: The Game Has Changed​ 

New regulations underscore that sustainability isn’t optional. What’s changing? 

Europe’s CSRD:  

The Corporate Sustainability Reporting Directive (CSRD) is a major step toward greater transparency and accountability in how companies share information about their sustainability practices. Building on the previous Non-Financial Reporting Directive (NFRD), the CSRD aims to make sustainability reports as robust and reliable as financial statements, so stakeholders get consistent and comparable data.  

It applies to a wide range of companies, from large EU enterprises and listed SMEs to certain non-EU firms operating within Europe and will eventually cover nearly 50 000 businesses which far more than before.  

Key requirements include a focus on the “double materiality” principle, meaning businesses must report both their impacts on society and the environment, and how sustainability challenges affect their own financial performance. The directive also demands detailed disclosures on climate, social issues, governance, supply chain, and management strategies, with phased implementation dates for different company sizes. The first reports for large public-interest companies are already due in 2025, followed by larger companies previously not subject to NFRD with reports due in 2026 and listed SMEs and other undertakings with reports due in 2027.  


 California’s SB 253 and SB 261 

Under Senate Bill 253 (SB-253) - the Climate Corporate Data Accountability Act - large companies doing business in California must publicly disclose their greenhouse-gas emissions across Scope 1, Scope 2, and (eventually) Scope 3 categories, in a standardized and assured format.  

This law applies to any company - public or private - with annual revenues exceeding $1 billion that operates in California, regardless of headquarters location. The new requirements begin with 2026 disclosures (covering 2025 data) for Scope 1 and 2 emissions, and 2027 disclosures (covering 2026 data) for Scope 3. 

SB-253 fundamentally changes how corporations measure and report their environmental impact. It shifts climate disclosure from voluntary sustainability reporting to a mandatory, regulated, and auditable process.
